Audit of Limited Liability Companies’ Accounts

This chapter deals with the compliance question of Turkish law with the EC Auditing Directive and concludes that Turkish law is profoundly in compliance with the EU law. A minor difference between both systems can be observed in the results of the non-compliance to the on-the-job-training provision. In our opinion, the Turkish solution of “suspension of permission” is preferable to the European solution of the withdrawal of permission. In Turkey, the auditing companies must be professional partners. In our opinion this requirement hinders the auditing companies from reaching out to the capital they may need and excessive, since the auditors still have the majority of the voting rights in these companies. Therefore, it is possible to reconsider this requirement. Finally, we are of the opinion that liability of the auditor should be reevaluated under Turkish law as well.

Sermaye Ortaklıklarının Hesaplarının Denetlenmesi

Bu bölümde Denetleme Yönergesi ile Türk hukukunun uyumu meselesi ele alınmakta ve bu alanda AB hukuku ile uyumun üst seviyede olduğu tespit edilmektedir. İki hukuk arasında küçük bir farklılık meslek içi eğitimin alınmaması hâline bağlanmış hukuki sonuçlarda göze çarpmaktadır. Kanaatimizce AB hukukundaki izin iptali yerine, Türk hukukunun iznin askıya alınması şeklindeki çözümü daha evladır. Türkiye’de denetçi şirketlerin ortaklarının tamamının meslek mensubu olması şartı mevcuttur. Kanaatimizce oy haklarının çoğunluğu denetçi ortaklarda olduğu sürece kalan ortakların meslek mensubu olması zorunluluğu denetçi şirketlerinin faaliyetleri için ihtiyaç duyabilecekleri sermayeye erişimlerini kısıtlamaktadır; bu nedenle de anılan şart üzerinde yeniden düşünülebilir. Son olarak kanaatimizce Türk hukukunda denetçinin sorumluluğu meselesi de yeniden ele alınabilecek konulardandır.
