Validity Issue of Derivative Contracts – Resultant Duties of the Banks

Derivative contracts are highly complicated and risky financial instruments. Historically, they were developed in practice under the mediation of banks to avoid future risks. These days, banks themselves are parties of these contracts, and they are closed for speculative reasons. These contracts eliminate the risk of investors’ mischief. Therefore, the code of conduct to be adhered to by banks must be put on record. Under the existing circumstances, the present paper aims to propose that code of conduct by elaborating on recent discussions and foreign court decisions about derivative contracts. The paper also deals with the terms and terminologies of these contracts.

Türev İşlemlerin Hukuka Uygunluğu Sorunu - Bankaların Türev İşlemlerden Doğan Yükümlülükleri

Türev işlemler son derece karmaşık ve riskli finans araçlarıdır. Tarihi açıdan bakıldığında bu işlemler ileriye dönük bir riski bertaraf etmek amacıyla ve bankaların aracılığıyla uygulamada ortaya çıkmışken, bugün gelinen noktada bu işlemler sırf spekülatif amaçlarla ve bankaların bizzat taraf olması ile gerçekleştirilir hale gelmişlerdir. Bu işlemler yatırımcı mağduriyeti riskinin yüksek olduğu işlemlerdir. Bu çerçevede anılan işlemlerin hukuki akıbeti ile bankaların uymakla yükümlü oldukları davranış kuralları belirlenmelidir. İşbu çalışma kapsamında türev işlemler dolayısıyla yürütülen tartışmalara ve yurtdışı mahkeme kararlarına atıfla ilgili davranış kurallarının ortaya konmasına çalışılmaktadır. Çalışma içerisinde türev işlem kavramı ve kullanılan teknik terimlere yönelik açıklamalara da yer verilmiştir.
